Terms of Service

Rekhia ('we,' 'our,' 'us') is a brand and service line operated by Busdigital LLC, a multi-member Limited Liability Company registered in New Mexico, USA (1209 Mountain Road Pl NE Ste N, Albuquerque, NM 87110). These Terms govern your business’s use of Rekhia’s website and your purchase of our professional services. By accepting a proposal/statement of work, paying an invoice or Stripe payment link, or otherwise engaging Rekhia (each an 'Order'), you, on behalf of your business ('Client'), agree to these Terms. If you do not agree, do not use our Services.
1. Commercial Use of Service
Our services are designed for and directed to business and professional clients. By engaging our services, Client represents and warrants that it is doing so for business, commercial, or professional purposes, and not as a 'consumer' within the meaning of any applicable consumer protection laws.
2. Services and Orders
We offer custom, project-based services—including discovery, UX/UI design, web/app development, e-commerce implementation, and related consulting—scoped and priced in the applicable Order.
We also offer monthly Support Plans (optional), which provide ongoing care and improvements with a monthly hour allocation and response-time targets (SLA). Unless expressly stated in an Order, Support Plan hours do not roll over to the next month.
3. Payment & Billing
- Unless otherwise agreed in writing, all payments for both Custom Projects and Support Plans are processed securely through Stripe. Clients may receive either a Stripe payment link or a Stripe-generated invoice, depending on the nature of the engagement. Rekhia does not directly collect or store credit card details; all transactions are handled by Stripe in accordance with its security standards.
- Custom Projects: Fees and milestones appear in your Order. A non-refundable deposit (typically 50% of the project total) is required to schedule the work. Once a phase begins, associated deposits/milestone payments are non-refundable. Invoices are due upon receipt unless stated otherwise.
- Support Plans: Billed monthly in advance via Stripe links or invoices provided by Rekhia’s sales team. The current billing month is non-refundable; you may cancel at any time effective the next cycle.
- Extra hours & rates: Time beyond a plan’s allocation is billed at $45/hour (unless otherwise agreed in the Order).
- Late Payments: We reserve the right to suspend all services and withhold delivery of any work until payment is made in full. Overdue invoices may be subject to a late fee of 1.5% per month, or the maximum rate permitted by law.
- Taxes: Fees are exclusive of taxes; you are responsible for applicable sales/VAT/withholding or similar taxes (excluding Rekhia’s income tax). If withholding applies, gross-up may be required so Rekhia receives full net amounts.
4. Client Responsibilities & Approvals
- Client Obligations: Client agrees to (i) provide timely access to necessary information, credentials, content, and decision-makers; (ii) review deliverables and provide consolidated feedback promptly; and (iii) ensure it has all rights and permissions to any materials supplied to Rekhia.
- Project Delays: We will not be liable for any failure or delay in delivering the services that is caused by Client’s failure to fulfill its obligations. If a Client-caused delay exceeds fourteen (14) business days, we reserve the right to pause the project and reschedule its continuation subject to our availability, which may incur a rescheduling fee.
- Approvals: Client will have five (5) business days to review and approve each deliverable. If no feedback is provided within this period, the deliverable will be deemed approved and we will proceed to the next phase.
5. Changes & Termination
- Changes to Scope: Any request for work outside the scope of an Order must be submitted as a written 'Change Order'. No such change will be effective until both parties have agreed in writing to the new scope, timeline, and any additional fees.
- Termination by Client: You may cancel an Order at any time by written notice, but you remain responsible for payment for all work performed and costs incurred up to the date of cancellation. All payments made are non-refundable.
- Termination by Rekhia: We may terminate an Order with written notice if the Client fails to make a payment when due, commits a material breach of these Terms, or becomes insolvent.
6. Intellectual Property
Upon full and final payment of all amounts due for the applicable Order, you own the final deliverables created specifically for you (design assets, code, documents), excluding Pre-Existing IP (our tools, libraries, templates, know-how) and third-party components.
To the extent our Pre-Existing IP is included in a deliverable, we grant you a non-exclusive, perpetual, worldwide, royalty-free license to use it as embedded in that deliverable. Third-party and open-source components remain governed by their respective licenses.
Unless you object in writing, we may reference your business name/logo and non-confidential visuals as portfolio/case-study material.
7. Limitations, Disclaimers & Liability
- Third-party services: You acknowledge dependencies on third-party platforms (e.g., hosting, domains, CDNs, analytics, APIs, Stripe). We do not control their availability, pricing, policies, or security and are not responsible for their outages, data loss, or changes.
- Warranty disclaimer: Except as expressly stated in an Order, the Services and deliverables are provided “as is” without warranties of any kind, whether express, implied, statutory, or otherwise (including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation).
- Liability cap: To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, revenue, or data). Rekhia’s total liability arising out of or related to the Services is limited to the amounts paid by you to Rekhia in the three (3) months preceding the event giving rise to the claim.
- Force majeure: Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., acts of God, war, labor disputes, government actions, widespread internet/hosting outages, pandemics); the affected party will use reasonable efforts to mitigate and resume.
8. Governing Law, Disputes & Contact
These Terms are governed by the laws of the United States and the State of New Mexico, without regard to conflict-of-law rules. Subject to any agreed mediation/arbitration, the state and federal courts in Bernalillo County, New Mexico (Albuquerque) have exclusive jurisdiction; the parties consent to personal jurisdiction and venue there.
